6. License Rights Summary
The four license tiers CSL offers are summarized below. The full legal language for each tier is in the License Agreement template.
| Tier | Use | Term | Exclusivity |
|---|---|---|---|
| Personal | Personal, non-commercial, non-monetized projects | Perpetual | Non-exclusive |
| Creator | YouTube / Twitch / Podcast / Social | Perpetual | Non-exclusive (Content ID cleared) |
| Indie Film / Game | Single project, all media tied to that one work | Perpetual for that work | Non-exclusive |
| Brand / Broadcast | Commercial campaigns, broadcast, ads, network TV | 3 years default (renewable) | Exclusive in vertical |
| Work-for-Hire | Full IP transfer; you own the master + composition copyright | Perpetual + Copyright Office registration | Exclusive (full transfer) |
All licenses start as Non-Exclusive by default — you get a non-exclusive right to use the master and underlying composition for the named scope. Exclusivity and Work-for-Hire require a separate signed agreement with an additional fee, listed on Pricing & Features.
7. Limitation of Liability
To the maximum extent permitted by law, CSL's total cumulative liability for any claim arising from a single engagement is capped at the amount you actually paid CSL for that engagement in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, lost profits, or lost revenue.
This limitation does not apply to: (a) CSL's gross negligence or willful misconduct; (b) breach of confidentiality obligations; (c) infringement of your intellectual property by CSL; or (d) amounts owed to a third party under an indemnification clause.
8. Governing Law & Severability
These Terms are governed by the laws of the Commonwealth of Pennsylvania and the federal laws of the United States, without regard to conflict-of-laws principles. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
